Terms of Service

1. Acceptance & eligibility

By using AGENTS-STAR (the "Service"), operated by TreasureFleet AI, Inc., you agree to these Terms. If you do not agree, do not use the Service. You must be at least 18 and able to form a binding contract.

2. The Service

AGENTS-STAR provides AI agents for e-commerce sellers (product research, content, marketing, operations, customer service, analytics). Features may change, and the Service is provided on an "as is" and "as available" basis.

3. Accounts & security

You are responsible for your account credentials and all activity under your account. Notify us promptly of any unauthorized use.

4. Subscriptions, billing & cancellation

  • Payment: paid plans are billed through Stripe. Fees, billing cycle, and plan limits are shown at checkout.
  • Auto-renewal: subscriptions renew automatically at the end of each term at the then-current price until you cancel. We will disclose renewal terms at purchase as required by applicable law (incl. California's Automatic Renewal Law).
  • Cancellation: you may cancel anytime in account settings or via Support; cancellation takes effect at the end of the current paid term.
  • Refunds: except where required by law, fees are non-refundable for partial periods.
  • Your API costs: under the BYO-Key model, third-party API charges incurred with your own keys are your responsibility.
  • Taxes: prices exclude taxes unless stated; you are responsible for applicable taxes.

5. Acceptable use

You must not: use the Service for unlawful activity; distribute malware or attack third-party systems; bypass authentication, access others' data, or reverse engineer the Service; or place excessive load that degrades the Service for others.

6. Your content

Content you upload or generate remains yours. You grant us a limited license to process it solely to provide the Service (store it, display it to you, and forward it to the third-party APIs you authorize). You are responsible for having the rights needed for content you submit.

7. AI-generated content & disclaimer

The Service uses AI models to generate text, images, and video. AI output may be inaccurate, incomplete, or unsuitable, and may resemble third-party material. You are responsible for reviewing AI output before use, ensuring it is accurate, lawful, non-infringing, and compliant with the policies of any platform (Amazon, TikTok, Shopify, etc.) where you publish it. AI output is not professional (legal, financial, medical) advice.

8. Intellectual property

The AGENTS-STAR software, interface, and documentation belong to its developer. We grant you a non-exclusive, non-transferable, revocable license to use the Service per these Terms.

9. Third-party services

The Service integrates third-party APIs and platforms. We are not responsible for their availability, content, or acts; your use of them is subject to their own terms.

10. Copyright / DMCA

If you believe content on the Service infringes your copyright, send a notice with the information required by the DMCA (17 U.S.C. §512) to our designated agent at lynnzhang000000@gmail.com. We will respond to valid notices and may remove infringing material and terminate repeat infringers.

11. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR ACCURATE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 3 MONTHS BEFORE THE CLAIM, OR (B) USD 100.

13. Indemnification

You agree to indemnify and hold harmless TreasureFleet AI, Inc. from claims arising out of your content, your use of the Service, or your violation of these Terms or applicable law.

14. Termination

You may stop using the Service anytime. We may suspend or terminate your account if you violate these Terms or as needed to protect the Service, and will notify you via Support or your registered email where practical.

15. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in New Castle County, Delaware, and you consent to that jurisdiction.

16. Changes

We may update these Terms; material changes will be notified to your registered email. Continued use after the effective date means acceptance.
